Proposed constitutional changes for 2018 General Assembly

At the Ohio State Bar Association General Assembly meeting on August 23, 2018, members will consider amendments to the OSBA Constitution that will address both the current electronic vote pilot program, as well as the timing of various meetings and events on the OSBA annual calendar.


Electronic Vote Pilot Extension

In 2016, the OSBA General Assembly voted to enact the three-year electronic vote pilot program for election of the OSBA president-elect. If not made extended or made permanent, the pilot will expire after the 2019 election. The proposed amendment would extend the current electronic vote pilot program for an additional period of three years.  This extension of time will provide opportunity to further review the performance of the pilot.


OSBA President-Elect Declaration Date

This proposed amendment would change the deadline for candidate declaration for the office of OSBA president-elect from August 15th to August 1st. This amendment would allow candidates, once declared, additional time to prepare campaigns for district meetings.


Annual Meeting Date Change

This proposed amendment would change the date of the annual meeting from August or September to April or May. This change will allow for the announcement of the OSBA election at the annual meeting.


Council of Delegates Meeting Date Change

This proposed amendment would change the date of the meeting of the Council of Delegates from April to April or May. The purpose of this proposed amendment is to allow the Council meeting to be held in conjunction with the OSBA annual meeting.


OSBA President-Elect Election

This proposed amendment would change the date of the OSBA election for president-elect from May to April or May. This change would provide flexibility in timing so that the election results will be finalized and ready for announcement by the date of the OSBA annual meeting.

ARTICLE XIX

Amendments

§19.2     The changes made on April 27, 2016 shall take effect on July 1, 2016 and shall automatically terminate and be of no further force or effect as of June 30, 2019  2022 unless extended or made permanent prior to such expiration by a majority of the regular members of the Association during a regular or special meeting.

 

ARTICLE IV

Officers

§4.3        The president-elect shall be elected by the regular members of the Association via mail and electronic mail ballot in April or May of the year of the commencement of the term of office. The Board of Governors shall adopt a policy governing the conduct of elections. Candidates for president-elect shall declare their candidacy in writing, filed with the secretary of the Association, not later than August 15 1 of the year preceding the election. Upon the expiration of the term of the president, the president-elect, so elected, shall succeed to the office of president for a full term. (If the office of the president becomes vacant, the president-elect shall succeed to the office of president for the unexpired term and shall thereafter serve a full term.) 


ARTICLE XIII

Association Meetings

(General Assembly)

§13.1     There shall be one regular meeting of the members of the Association which shall be held each year within the months of August or September April or May. The date and place thereof shall be fixed by the Board of Governors, and all arrangements and programs shall be under its direction. Special meetings may be held on call by the Board of Governors. All special meetings shall be held in the greater Columbus area. All matters brought before the General Assembly of the Association shall be determined by a vote of the majority of the regular members in attendance at such regular or special meeting of the Association. 


ARTICLE X

Council of Delegates

§10.3     The Council of Delegates shall regularly meet in April or May of each calendar year on a date, time and place fixed by the Board of Governors, and shall specially meet on call of the Board of Governors; or on call, in writing, filed by fifteen members of the Council from more than two districts, but not more than ten from any one district, with the secretary. All special meetings shall be held in the greater Columbus area at such dates and times as the Board of Governors shall determine.
